Paul Aiesi, Principal paiesi@poinsettcapital.com Paul Aiesi is principal
of Poinsett Capital Advisors, LLC and is responsible for the day to day implementation of the investment strategies
pursued by the firm’s funds. He works closely with Andrew Reiken to identify and structure investments
made by Poinsett’s Investment Funds. During his tenure at Poinsett, Mr. Aiesi played a key role in
developing the strategy for the CMBS Value Fund and the CRE Strategic Opportunity Fund. Prior to assuming his role with Poinsett, he was the Chief Investment
Officer for TIC Properties, LLC where he was responsible for nearly $750 million in real estate transactions including the
acquisition and disposition of office, retail, industrial and multifamily assets. Mr. Aiesi has also played
a key role in the formation and structuring of TIC Properties Management, LLC, which specializes in the professional property
management of fractional ownership properties. With Mr. Aiesi’s active participation, the management company has entered
into management agreements with fractional ownership groups not syndicated by TIC Properties and now manages approximately
70 properties totaling 8 million square feet. Mr. Aiesi and Poinsett work closely with TIC Properties Management on the advisory
and asset management aspects of TIC Properties Management’s portfolio.
In addition to his real estate work,
Mr. Aiesi maintains proficiency as a pilot for Delta Airlines flying the Boeing 767/757 aircraft several days each month.
He was first certificated with Delta Airlines in 2000 and at that time he was the youngest pilot out of 10,000 total
pilots. Mr. Aiesi graduated magna
cum laude from Furman University where he served as the President of the Student Body and was a member of the Phi Beta Kappa
honor society

Andrew Reiken, Principal areiken@poinsettcapital.com Mr. Reiken is a principal in Poinsett-sponsored funds and has over 14 years of experience
in commercial real estate. During the past threeyears, Mr. Reiken was one of the primary architects of the CMBS
Value Fund and the CRE Strategic Opportunity Fund. He utilized his vast direct experience in the orgination and trading of
CMBS products to identify the best loan pools for the funds to acquire. Additionally, Mr. Reiken is active in utilizing
his extensive relationships to originate direct investment opportunities and provides structuring expertise and price structuring
for all investments. Prior to his work with the two funds, Mr. Reiken was the
co-head of the Capital Markets division within Real Estate Structured Finance at Macquarie Holdings (U.S.A.), Inc. Mr.
Reiken joined Macquarie from LaSalle Bank, where he was the head of large loan pricing and execution in addition to being
in charge of commercial mortgage distribution (bonds, B notes and mezzanine debt). Prior to joining LaSalle, Mr. Reiken
spent over eight years at Goldman Sachs, the last five of which were on the commercial mortgage loan trading desk, where most
recently he was head of commercial mortgage distribution (bond, B notes and mezzanine debt). His prior duties at Goldman
Sachs also included working on the secondary CMBS trading desk, loan organization and due diligence. Mr. Reiken is a graduate of Union College and has a Master of Science in Real Estate Valuation from New York University
and a Master of Business Administration from Michigan State University.

John Boyd,
Principal jboyd@poinsettcapital.com Mr. Boyd is a principal in Poinsett
and serves on the Investment Committee for the various funds. He is also active in the strategic planning
to identify market opportunities. Using his CPA background, Mr. Boyd also provides Poinsett and its funds
with accounting and tax structuring guidance to ensure proper structuring and maximizing of potential benefits. Mr. Boyd is a proven entrepreneur and has always
been at the forefront of business trends, opening Boyd Corporation, South Carolina’s first full-service qualified intermediary
firm, in 1991 when he saw a lack of these services to southeastern investment property owners. As awareness grew of IRS §1031
exchanges, a new problem arose for investors: the availability of suitable replacement property that could be found in the
short 45-day window. In 2001, he launched TIC Properties, LLC. TIC Properties has completed nearly $750 million in real
estate transactions providing 1031 exchange investors with access to institutional quality real estate investments. Mr. Boyd
formed TIC Properties Management, LLC, an affiliate of Poinsett, to handle the property management of tenant in common owned
properties. Under his leadership, TICPM was recognized by BOMA as an “Accredited Management Organization” (AMO).
Fewer than 600 property management firms have achieved this accreditation. A graduate of Furman University, Mr. Boyd has a Bachelor's degree in Business Administration with
a concentration in Accounting, holds a South Carolina real estate broker license, is a former CPA, and was a finalist in the
Ernst and Young Entrepreneur of the Year awards. He is one of only a few real estate professionals in South Carolina with
the designation of Certified Exchange Specialist and holds FINRA Series 7, 24, 27 and 63 licenses.

Donald Spalding, Principal Mr. Spalding is a principal in funds sponsored
by Poinsett. Using his network of over 900 mortgage banking and borrower relationships nationwide, he identifies
prospective investment opportunities that meet the investment criteria. Mr. Spalding also is active in
the due diligence and closing process and is a voting member of the Investment Committee. During the investment period for the CMBS Value Fund and the bond
investment period for the CRE Strategic Opportunity Fund, Mr. Spalding used his vast knowledge of CMBS loans and loan pools
to select investment opportunities for the funds and provided significant depth in the credit analysis of each investment. Prior to his involvement with Poinsett sponsored
funds, Mr. Spalding was the Head of Production for North America for LaSalle Bank/ABN AMRO where he was responsible for origination,
structuring and closing of real estate investments that included office, retail, multi-family, industrial and hotel assets.
Under his leadership, loan volume increased from $400 million in 2002 to over $12 billion in 2007, and revenues to
increase from $10 million to over $150 million. Before joining LaSalle, Mr. Spalding also worked for GE
Capital and PNC Bank in various capacities starting as an analyst and increasing in responsibilities from loan origination
to credit analysis and lending approvals. Mr. Spalding received his Bachelor’s degree from Syracuse University’s School of Management and a Masters
in Public Management from Carnegie Mellon University where he graduated summa cum laude.

Trevor Gordon, Principal tgordon@poinsettcapital.com Trevor Gordon is a Principal of Poinsett Capital Advisors. Mr. Gordon
serves at the CEO and President of Poinsett affiliate Sandlapper Securities, LLC which provides managing broker, dealer and
wholesale services to investment products Poinsett offers through the retail broker dealer network. Mr. Gordon will
assist the officers of Poinsett with sales concept development and support to the registered representatives and investors.
Mr. Gordon also served as President and National Sales Manager with TIC Properties, LLC, an award winning, nationally recognized
leader in the tenant-in-common industry. Prior to joining TIC Properties, he was Vice President of Sales and Marketing
for another prominent TIC sponsor. In addition to managing the sales process for them, he also played a key role in
marketing, writing commentary and maintaining investment relationships with individuals and the broker/dealer community.
He has more than 18 years of experience in the financial services and tenant-in-common industries, including positions as
a sales and marketing executive, mutual fund wholesaler, and retail financial advisor. Mr. Gordon is active within his professional industry as well as his community. He is a member of the Real
Estate Industry Securities Association (formerly the Tenant-In-Common Association) and former chairman of its Marketing Committee.
He is a member of the Board of Directors for the Center for Developmental Services in Greenville, SC. A graduate of Kennedy Western University, he earned both Master's and Bachelor's of Business Administration degrees.
He currently holds FINRA Series 7, 24, 31, 63, and 65 licenses and previously held the Florida Group 1 license. He joined
the financial services industry upon returning from the Persian Gulf in 1991 and is a Life Member of the Veterans of Foreign
Wars of the United States (VFW).
